Fox Factory completed the sale of Marucci Sports for an enterprise value of $225 million, including $200 million in cash at closing and a $25 million subordinated note due Dec. 31, 2026.
The company said the $200 million cash payment was used immediately to cut debt. As a result, net leverage fell from 3.7 times to about 2.7 times. Annualized interest expense dropped by roughly $16 million, and Fox said the full benefit should rise to about $17 million once the $25 million note is paid and applied to borrowings.
Fox also said it incurred about $7.5 million in transaction-related costs, which it expects to cover separately with cash on hand.
The divestiture follows a strategic review that began in February 2026. Fox said it and its advisers contacted more than 80 potential acquirers and received 15 indications of interest before approving the sale. Following these announcements, the company's shares moved -0.75%, and are now trading at a price of $18.52. For the full picture, make sure to review FOX FACTORY HOLDING CORP's 8-K report.
